Sysmex et bioMérieux concluent la dissolution de la joint venture Sysmex bioMérieux Co., Ltd

Sysmex Corporation (« Sysmex ») et bioMérieux S.A. (« bioMérieux ») (Paris:BIM) annoncent leur décision de transférer à bioMérieux la totalité des participations détenues par Sysmex dans Sysmex bioMérieux Co., Ltd (Tokyo, Japon), mettant ainsi fin à la joint venture créée par les deux sociétés en 2008. Cette entité visait à allier les solutions innovantes de bioMérieux avec l’expertise commerciale de Sysmex sur le marché japonais.

1. Accord
Dans le cadre de leurs discussions, Sysmex et bioMérieux ont signé un accord pour que Sysmex transfère à bioMérieux la totalité des participations qu’elle détient dans Sysmex bioMérieux Co., Ltd (34 % du capital). Par conséquent, l’accord de distribution entre Sysmex et Sysmex bioMérieux Co., Ltd relatif aux produits de bioMérieux au Japon prendra fin le 31 octobre 2017. Sysmex continuera d’assurer le service après-vente des produits bioMérieux au Japon jusqu’au 31 mars 2018. Afin de prendre en charge les activités auparavant menées par Sysmex, bioMérieux mettra en place, dans un objectif long terme, sa propre structure commerciale au Japon.
